Design Service Agreement

So you want to work together—let's do it! It is my intention that I be as transparent as possible. Because of this, I want to be up front about everything. Below you will find my terms and conditions as it relates to design services. Keep in mind every project is unique, some of these terms may change or be amended depending on the needs of your business.

Project Documents
All (finished or unfinished) project documents, concepts, drawings, and proofs prepared by Daniel Patrick Simmons (a.k.a. project documents) and all copyrights and other proprietary rights applicable thereto remain at all times property of Daniel Patrick Simmons. Completed product designs are delivered to client by the designer within 48 hours of final payment in usable form (unless stated otherwise). Usable form includes, but is not limited to: digital files, print files, and print materials.

Delivered Documents
All work is delivered in vector, PDF, and hi-resolution formats for use on any application large or small. Finished work is not to be re-used, reproduced, or recycled for any other products (online or in print) without written consent.

Fifty percent (50%) deposit of total project fee is due at signing. Total project fee must be paid in full within five (5) business days from delivery of finished artwork and files. If discounts are offered payment is due in full at time of signing. Payment may be processed by cash, check,, or

Late Payment
Any amount not paid when due under this Agreement shall be subject to a $250.00 USD late fee per month until paid. In addition to all other legal rights, Daniel Patrick Simmons shall be entitled to withhold delivery of product designs, concepts, proofs, and files or the further performance of design services should client fail to timely make payments due to Daniel Patrick Simmons.

Working Hours
I (and team members) work hard to be available in a professional manner during normal business hours: Monday-Friday, 9AM-5PM, after 5pm we may be somewhere drinking. During this time the designer will be available for contact via email, or phone, voice mail only. Correspondence between designer and client should be responded to within 48 hours. Text messages, online messages, or social media comments may not and likely will not be answered. In short—be respectful.

It is my intention to deliver a superior design experience. During the project, the client is required to hire no other designer, design agency, design firm, or contractor to service the outlined project description. Failure to adhere to this agreement will result in immediate project termination.

At any time if these terms are not met and or contract is breached, designer may terminate project without notice and all outstanding payments/balances are due within thirty (30) days. If client decides to terminate business relationship they must do so with written notice and all deposits will be nonrefundable and outstanding balances be settled within thirty (30) days.

I work hard to make this process as enjoyable and satisfying as possible while delivering a superior design experience. In order to do this I encourage open communication, fluid dialogue and honest feedback. Please let me know if you have any additional comments or questions!
